4. Legal Services Description
Lex Croft provides legal services in the following areas:
4.1 Property and Real Estate Legal Support
Legal guidance for property transactions, lease negotiations, title verification, and real estate matters in Thailand. Services include due diligence, contract review and drafting, and transfer process guidance.
4.2 Business Formation and Compliance
Legal support for establishing business entities in Thailand, including entity selection guidance, registration documentation, shareholder agreements, and regulatory compliance frameworks.
4.3 Complex Civil Matter Representation
Comprehensive legal representation for civil disputes, negotiations, and multi-party matters, including research, documentation, mediation support, and litigation preparation.
Service availability and scope may vary based on individual circumstances. Specific services will be outlined in individual engagement letters.
5. No Attorney-Client Relationship
Use of our website or submission of an inquiry does not create an attorney-client relationship. An attorney-client relationship is established only when:
- We have conducted a conflicts check and confirmed no conflicts of interest exist
- Both parties have signed a written engagement letter
- Any required initial payment has been received
Until an attorney-client relationship is formally established, any information you provide is not protected by attorney-client privilege and should not include confidential or sensitive details about your legal matter.
6. Engagement Process
6.1 Initial Consultation
Engagement begins with an initial consultation to assess your legal matter, discuss potential approaches, and provide timeline and cost estimates. This consultation allows both parties to determine if proceeding with representation is appropriate.
6.2 Engagement Letter
If both parties decide to proceed, we will provide a written engagement letter specifying:
- Scope of legal services to be provided
- Fee structure and payment terms
- Timeline expectations
- Communication protocols
- Termination procedures
6.3 Scope Limitations
Services are limited to those specified in the engagement letter. Work outside the agreed scope requires a separate agreement and may involve additional fees.
7. Fees and Payment Terms
7.1 Fee Structure
Legal fees are determined based on the service provided and will be specified in the engagement letter. Current standard fees are:
- Property and Real Estate Legal Support: ฿8,200
- Business Formation and Compliance: ฿25,000
- Complex Civil Matter Representation: ฿48,000
7.2 Payment Terms
Payment terms will be outlined in the engagement letter and may include:
- Upfront payment before work commences
- Payment upon completion of services
- Progress-based payments for extended engagements
7.3 Additional Costs
Fees do not include out-of-pocket expenses such as court filing fees, document certification costs, title search fees, or other third-party charges. These will be billed separately with appropriate documentation.
7.4 Late Payment
Unpaid invoices beyond 30 days may result in suspension of services until payment is received. Interest may accrue on overdue amounts as specified in the engagement letter.
8. Client Responsibilities
Clients engaging our services agree to:
- Provide accurate, complete, and truthful information about their legal matter
- Respond promptly to requests for information or documentation
- Disclose all facts and circumstances relevant to the matter, even if potentially unfavorable
- Make timely payments according to the agreed terms
- Follow legal advice and instructions provided by our attorneys
- Notify us immediately of any changes in circumstances affecting the matter
- Respect confidentiality obligations regarding our legal strategies and work product
9. Confidentiality and Attorney-Client Privilege
Once an attorney-client relationship is established, all communications and information shared are protected by attorney-client privilege under Thai law. We maintain strict confidentiality of client information in accordance with professional ethical standards.
Exceptions to confidentiality include:
- When required by law or court order
- When necessary to prevent imminent harm
- When you provide explicit consent for disclosure
- For billing and administrative purposes (with appropriate safeguards)
10. No Guarantees of Outcome
Legal services are provided based on our professional judgment and experience, but we cannot guarantee specific outcomes or results. Success in legal matters depends on many factors including applicable law, evidence, and decisions by courts, opposing parties, or regulatory authorities.
We will use our skills and knowledge diligently to represent your interests, but we make no warranties or guarantees regarding the outcome of any legal matter.
11. Limitation of Liability
To the extent permitted by Thai law and professional conduct standards:
- Our liability is limited to the fees paid for the specific engagement
- We are not liable for indirect, consequential, or punitive damages
- We are not liable for outcomes beyond our reasonable control
- We maintain professional liability insurance as required by professional standards
This limitation does not affect liability for gross negligence, intentional misconduct, or matters that cannot be limited under Thai law.
12. Termination of Engagement
12.1 Client Termination
You may terminate our engagement at any time by providing written notice. You remain responsible for fees for services rendered up to the termination date and any costs incurred on your behalf.
12.2 Our Termination Rights
We may terminate the engagement in the following circumstances:
- Non-payment of fees
- Failure to cooperate or provide necessary information
- Conflicts of interest that arise during representation
- Client conduct that violates professional ethical standards
- Irretrievable breakdown of the attorney-client relationship
12.3 Post-Termination
Upon termination, we will provide your file and cooperate in transition to new counsel if requested. Attorney-client privilege continues to protect communications and information after termination.
13. Intellectual Property
All content on our website, including text, graphics, logos, and design elements, is the intellectual property of Lex Croft and protected by copyright and trademark laws.
Documents and legal work product created for clients remain subject to the following:
- Clients receive a license to use documents for their intended purpose
- We retain copies for our records as required by professional standards
- Legal strategies and work methodologies remain our intellectual property
14. Website Use and Restrictions
When using our website, you agree not to:
